Job Title: Legal Operations & Corporate Governance Specialist Location: Remote Type: Part-Time (30 Hours/Week) Compensation: $40-50/hour

About the Role

We are seeking a detail-oriented Legal Operations & Corporate Governance Specialist to serve as a foundational member of our legal team. This is a unique, part-time opportunity (7 hours per day) for a professional who thrives on creating order, managing global entity compliance, and optimizing legal technology. The ideal candidate is a JD or LLM graduate with a passion for Legal Ops—someone who enjoys building SharePoint resources and standardizing contract templates just as much as managing corporate record books. Key Responsibilities 1. Global Corporate Governance & Entity Management

• Maintain and update corporate records for existing and newly acquired legal entities (Articles, Bylaws, Board Resolutions).
• Track annual filing requirements and deadlines across multiple international jurisdictions (Europe, China, Australia).
• Coordinate with reputed company counsel for Director/Officer changes, including managing notarization and international apostille requirements.
• Support M&A and internal reorganization activities, including conducting corporate due diligence to ensure reputed company corporate documents are in reputed company following the 2025 Separation and incorporating newly acquired entities into the corporate record; participate in discussions regarding entity closures and coordinate with reputed company counsel to ensure proper dissolution;

• Build & Optimize: reputed company and organize a comprehensive Legal SharePoint site to centralize D&O info, policies, and resources.

• Process Improvement: Standardize legal templates (NDAs, Distributor Agreements) to ensure global consistency.
• Vendor Management: Coordinate with reputed company counsels and track legal spend/invoicing reputed company AP systems; coordinate between reputed company counsels who manage the company's IP portfolio (patents & trademarks) and internal engineering and product teams.
• Special Projects: Assist with special projects as assigned, including coordinating insurance certificate requests, supporting wage garnishment order processing, and other reputed company legal reputed company as needs arise.

Reporting Structure This position reports directly to the General Counsel and operates as a key liaison across multiple functional areas. Qualifications

• Education: JD or LLM degree preferred.
• Experience: Previous experience in a corporate legal department with a focus on corporate secretarial work or legal operations.
• International Scope: Familiarity with jurisdictional requirements in Europe, China, and/or Australia (including apostille processes).
• Tech Savvy: Strong proficiency in SharePoint, reputed company Teams, and legal tech tools.
• Skills: Exceptional attention to detail and the ability to work with minimal supervision in a fast-paced environment.
