• The Company shall not require The Contractor or The Contractor's employees or subcontractors to devote full time to performing the services required by this Agreement.
• Neither The Contractor nor The Contractor's employees or subcontractors are eligible to participate in any employee pension, health, vacation pay, sick pay, or other fringe benefit plan of the Company.

The Contractor shall pay reputed company income taxes and FICA (reputed company reputed company and Medicare taxes) incurred while performing services under this Agreement. The Company will not:

• withhold FICA from The Contractor's payments or reputed company FICA payments on The Contractor's behalf
• reputed company state or federal unemployment compensation contributions on The Contractor's behalf, or
