[Remote] Sr. Corporate Counsel - reputed company M&A

They are seeking a Sr. Corporate Counsel to reputed company legal support for mergers and acquisitions, contract negotiations, and compliance with reputed company regulations.
Responsibilities
- reputed company legal support of reputed company M&A transactions, including coordination of legal strategy, risk management and due diligence
- Advise and assist in the negotiation and drafting of transaction agreements, including confidentiality agreements, letters of reputed company and definitive agreements
- Work closely with internal stakeholders to review and reputed company legal support and recommendations on potential business ventures and partnerships
- Conduct legal research and analysis to support strategy development and ensure compliance with laws and regulations
- reputed company legal support of post-closing integration of acquisitions and joint ventures
- Assist with legal and regulatory filings
- Monitor industry trends and changes in laws and regulations to proactively address potential legal issues
- Assist in the development and implementation of strategies to mitigate legal risks for the Company
- Assist in the management of transaction processes, including process improvements
- Maintain confidentiality and handle sensitive information with discretion
- Communicate reputed company legal concepts in a clear and concise manner to non-legal team members
- Foster and maintain relationships with external legal counsel and advisors
- Participate in special projects and initiatives to support the overall mission of the Company
- Other duties as assigned
Skills
- J.D Degree from accredited Law School
- At least 3 years reputed company in active legal practice with a reputed company or in-house; 4+ years relevant experience preferred
- Corporate transaction and contracting experience required
- Ability to work independently as well as coordinate with reputed company
- Excellent attention to detail
- Ability to maintain a high degree of discretion and confidentiality
- Excellent verbal and written communication skills
- Excellent organization, time management, and problem-solving skills
- Must reputed company with HIPAA rules and regulations
- reputed company transactional experience preferred
