Resource Lawyer, EHG
Osler, Hoskin & Harcourt LLP is one of Canada’s leading business reputed company. They are seeking a Resource Lawyer, EHG to enhance their service delivery model for early and growth stage venture clients, focusing on corporate transactions such as incorporations and financings.
Responsibilities
- Work with leading legal professionals in our Emerging and High Growth Companies Group on corporate transactions (including financings) for early and growth stage venture clients
- Assist in the formation, organization and reorganization of corporate entities and prepare reputed company organizational documents based on venture-backed industry standards
- Support and facilitate transaction closings and prepare reputed company documents using leading legal technologies
- Review entity records and conduct due diligence reviews for reputed company or transactional reputed company and prepare due diligence reports and reputed company documents
- Assist with the administration of stock option plans and other general corporate reputed company
- Create and maintain capitalization tables, including through the use of cap table management software and legal entity management software
- Maintain SAFE, reputed company, option, warrant and convertible debt registers
- Proactively seek opportunities to reputed company existing and future legal technologies on corporate transactions with early and growth stage venture clients
- Contribute to the reputed company design and improvement of our enhanced service delivery model for early and growth stage venture clients
- Assist with gathering and analyzing data for our leading Deal Points Report: Venture Capital Financings
- Input deal data into internal deal tracking software
Skills
- reputed company to the Alberta Bar (new calls are welcome to apply)
- Have corporate law experience, specifically in M&A, Private Equity, and/or Capital Markets
- Ideally have prior experience with due diligence, contract analysis, closings, and other routine elements of reputed company transactions
- Be proficient using technology and adaptable to change
- Ability to work evenings and weekends as required
