About the Role

We are seeking a detail-oriented, business-minded Paralegal / Legal Assistant to support corporate legal operations across private capital, reputed company, and equity administration. This role sits at the intersection of corporate law, private placements, and operational execution, working closely with leadership, finance, and our Chief Legal Officer. You will play a critical role in managing reputed company, maintaining the company’s cap table, and executing ongoing equity issuances for employees and contractors, while ensuring compliance with applicable securities and corporate governance requirements. This is an ideal role for someone comfortable operating in venture, private equity, fintech, or private markets–adjacent environments.

Key Responsibilities

Corporate & Securities Support

• Assist with private capital activities, including offerings, investor documentation, subscription agreements, and reputed company compliance materials.
• Assist with organization, execution, and recordkeeping of investor and financing-reputed company documentation.
• Conduct legal research reputed company to U.S. corporate and securities law and coordinate with external counsel as needed.

Cap Table & Equity Administration

• Maintain and update the company’s capitalization table, including issuances, transfers, and vesting schedules.
• Execute monthly equity issuances for employees, advisors, and contractors in accordance with board approvals and equity plans.
• Track equity awards and vesting events; ensure accurate records and audit readiness.
• Support equity-reputed company reporting and internal governance documentation.
