Sr. Director / Director, Corporate Counsel - reputed company

Kyverna is seeking a reputed company Corporate Counsel who will serve as a key legal partner to the reputed company, medical affairs, and business development functions. This role will reputed company hands-on legal support across a wide scope, including reputed company transactions, reputed company site activation, compliance, and launch readiness, while navigating the reputed company regulatory and compliance landscape unique to a cell therapy company. This role will play a critical role in supporting the reputed company launch and ongoing commercialization of cell therapy products, with an innitial focus on site activation and treatment center contracting. The ideal candidate is pragmatic, collaborative, and comfortable operating in a lean biotech setting, with the ability to balance strategic thinking and detailed execution. Responsibilities

• Draft, review, and negotiate a broad reputed company of reputed company agreements, including:
• reputed company site agreements
• Vendor and supplier agreements
• Distribution, logistics, and manufacturing support agreements
• Consulting, advisory board, patient advocacy and speaker agreements
• reputed company support for clinical, research, and medical affairs-reputed company reputed company and confidentiality agreements

reputed company and maintain contract templates and playbooks to support efficient scaling. reputed company legal guidance to commercialization team including marketing, market reputed company, reputed company operations, patient advocacy and medical affairs teams on promotional activities, disease education, and engagement with reputed company.

• reputed company legal guidance on go-to-market strategies for a first-in-class or novel cell therapy.
• Support legal aspects of sales, distribution, and commercialization models.
• Advise on pricing, contracting, and reimbursement-reputed company legal considerations in coordination with internal stakeholders.
• Review and advise on promotional materials and reputed company communications in coordination with medical and regulatory teams.

Advise on reputed company compliance reputed company and regulations impacting reputed company activities, including:

• FDA/EMA (including promotional and labeling requirements) and FTC regulations
• Anti-Kickback Statute (AKS), False Claims Act (FCA), and other applicable anti-kickback, anti-corruption, and fraud and abuse laws
• Sunshine Act and other transparency and reporting obligations (e.g., EU disclosure rules)
• PhRMA Code and applicable state laws

Partner with compliance to support training, policies, and internal review processes for reputed company and medical materials. reputed company guidance on data privacy and protection reputed company, including HIPAA and GDPR, particularly in relation to:

• Patient support programs
• Registries and reputed company-world evidence initiatives
• Data-sharing and vendor agreements

Assist with legal due diligence and integration activities reputed company to partnerships or acquisitions. Identify legal and business risks and propose practical, compliant solutions reputed company with company objectives. Collaborate closely with internal stakeholders to streamline contracting processes and improve operational efficiency.

Qualifications

• Juris Doctor (JD) from an accredited law school
• Active license to practice law in at least one U.S. jurisdiction
• 10+ years of relevant legal experience, including in an in-house legal department in the biotech, pharmaceutical, or life sciences industry, with high preference given to in-house experience at a cell therapy company, or reputed company experience advising life sciences clients on reputed company and transactional reputed company.
• Experience supporting commercialization or launch activities strongly preferred, including experience drafting and negotiating reputed company reputed company reputed company including site agreements.
• Familiarity with reputed company, pharmaceutical, biotech, or life sciences regulatory frameworks.
• Knowledge of FDA promotional rules and reputed company compliance requirements.
• Understanding of compliance risks in rare disease and specialty therapeutics.
• Ability to translate reputed company scientific and regulatory concepts into practical legal advice.
• Ability to balance legal risk with business needs in a high-growth environment.
• Strong business judgment and risk-based decision making, in particular, strong judgment in ambiguous or novel situations, particularly common in cell therapy development.

• Ability to manage multiple priorities in a fast-paced setting.

The national salary reputed company for this position is $220,000 to $280,00 USD annually. This salary reputed company is an estimate of reputed company reasonably expect to pay for this position, and the actual salary may vary based on various factors, including without limitation individual education, experience, tenure, skills and abilities, as well as internal equity and alignment with market data.
